Welcome to Basementgrid! These Terms of Service ("Terms") govern your access to and use of the Basementgrid application, website, and related services (collectively, the "Service"). The Service is provided by [Your Company Name], a company incorporated in [Your Jurisdiction] ("Basementgrid," "we," "us," or "our").

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all the terms and conditions of this agreement, you may not access or use the Service.

1. Definitions

"Account": Your registered user account within the Basementgrid Service.
"Asset": Any item or equipment managed within a Workspace.
"Booking": A reservation or scheduling of a Location through the Booking Module.
"Content": Any data, text, information, graphics, photos, profiles, audio, video, forms, work orders, messages, or other materials uploaded, posted, or displayed by users on or through the Service.
"Form": A digital document created by a User to collect information or payments from other Users.
"Form Creator": A User who creates and publishes Forms within the Service.
"Location": A physical space or area managed within a Workspace.
"Message": The in-app communication feature allowing Users to send messages.
"Payment Facilitation Service": The service provided by Basementgrid to enable Users to collect payments for Forms or manage refundable deposits, in exchange for a commission.
"Service Work": Any maintenance, repair, or other task managed or requested within the Service.
"User", "You": Any individual or entity that accesses or uses the Service.
"Workspace": A dedicated environment within Basementgrid where Users manage their Locations, Assets, and collaborate on Service Work.
"Work Order": A formal task or job assigned for completion within a Workspace.

2. Acceptance of Terms

By creating an Account, accessing, or using the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to that organization.

3. Account Registration and Responsibilities

3.1. Eligibility: You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

3.2. Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3. Account Security: You are responsible for safeguarding your password and for any activities or actions under your Account. You agree to notify Basementgrid immediately of any unauthorized use of your Account. Basementgrid cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.

3.4. Workspace Management:

Each User can create and manage their own Workspaces, which include specific Locations and Assets.
You are solely responsible for the management, accuracy, and legality of your Workspaces, Locations, and Assets.

3.5. Collaboration:

Users can invite other Users to collaborate within their Workspaces.
You understand that inviting other Users grants them certain access and permissions within your Workspace as determined by you. You are responsible for managing these permissions.
Users can request Service Work from other Users. These requests can be converted into Work Orders.
You are responsible for the content and management of all Work Orders, including setting work procedures and assigning them to other Users.

4. Subscription Plans and Payments

4.1. Workspace Plans: Basementgrid offers different Workspace plans, including a free Workspace with limited features. Details of the features included in each plan are available on our website or within the app.

4.2. Upgrading Workspace: Users may choose to upgrade their Workspace to a paid subscription plan, which offers additional features and capabilities. Paid subscriptions are available on a monthly or yearly basis.

4.3. Subscription Terms: The specific terms, features, pricing, and billing cycles for each subscription plan will be presented to you at the time of subscription or upgrade. By subscribing to a paid plan, you agree to pay the applicable subscription fees.

4.4. Billing and Auto-Renewal:

Subscription fees are billed in advance on a recurring, periodic basis (e.g., monthly or annually).
Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew, and you authorize us to charge your payment method for the next billing period's fees.
You can manage your subscription and turn off auto-renewal through your Account settings within the app or on our website.

4.5. Cancellations: You may cancel your subscription at any time. Your cancellation will take effect at the end of the current paid-for billing period. We do not provide refunds or credits for any partial subscription periods.

4.6. Price Changes: Basementgrid reserves the right to change the prices for paid subscription plans at any time. We will provide you with reasonable prior notice of any price changes. If you do not agree with the new prices, you may cancel your subscription before the new prices take effect.

5. User Content

5.1. Responsibility for Content: You are solely responsible for all Content that you upload, post, transmit, or otherwise make available through the Service, including, but not limited to, the content of Work Orders, Forms, Bookings, and messages.

5.2. Content Ownership: You retain all ownership rights to your Content. By making Content available on or through the Service, you grant Basementgrid a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your Content in connection with the operation and provision of the Service.

5.3. Content Standards: You agree not to post, upload, or transmit any Content that:

Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
Is false, misleading, or fraudulent.
Violates any applicable law or regulation.

5.4. Monitoring Content: Basementgrid has the right, but not the obligation, to monitor all Content provided by Users. We reserve the right to remove any Content that we, in our sole discretion, determine violates these Terms or is otherwise objectionable.

6. Payment Terms (for Forms & Deposits)

6.1. Payment Facilitation Service: Basementgrid provides a Payment Facilitation Service that allows Form Creators to collect payments from other Users for the completion of Forms and to manage refundable deposits.

6.2. Third-Party Payment Processor: Basementgrid is NOT a bank, financial institution, or payment gateway. We utilize third-party payment processors (e.g., Stripe, PayPal, Omise) to facilitate all payment transactions. By using the Payment Facilitation Service, you agree to be bound by the terms and conditions of these third-party payment processors. Basementgrid is not responsible for any issues, errors, or disputes arising from the services provided by these third-party payment processors.

6.3. Commissions: Basementgrid will charge a commission for facilitating payments for Forms and for providing the escrow service for refundable deposits. The applicable commission rates will be clearly displayed within the Service or communicated to you separately. This commission is used to cover the costs associated with providing the Payment Facilitation Service, including fees charged by the third-party payment processor. By using the Payment Facilitation Service, you agree to pay these commissions. Basementgrid reserves the right to change its commission rates at any time, with prior notice to you.

6.4. Responsibility for Payments and Forms:

Form Creators are solely responsible for:

The content, purpose, and legality of the Forms they create.
Determining the payment amounts for Forms.
Managing and resolving any disputes with Users regarding payments for Forms, including refund requests.
Ensuring compliance with all applicable laws and regulations related to payment collection and data privacy.

Basementgrid is not responsible for:

The accuracy, completeness, or legality of any Form content.
The fulfillment of any obligations or services implied by the completion of a Form.
Any chargebacks, disputes, or fraudulent transactions initiated by Users against Form Creators.
The ultimate success or failure of any transaction.

6.5. Refundable Deposits / Escrow Service:

Basementgrid may offer an escrow-like service for refundable deposits. When utilizing this service, funds will be held by the third-party payment processor until the agreed-upon conditions for release or refund are met, as determined by the Form Creator.
Basementgrid will take a commission for providing this escrow facilitation service.

Basementgrid is not a bank or escrow agent. We merely facilitate the holding and release of funds based on the instructions provided by the Form Creator through the Service. We are not responsible for determining the validity of claims for deposit release or refund, which remains the sole responsibility of the Form Creator.

6.6. Taxes: You are solely responsible for identifying and paying all taxes, duties, and other governmental assessments associated with your use of the Service, including any payments received through the Payment Facilitation Service.

6.7. Payouts to Form Creators:

To receive payouts for payments collected through Forms and for released refundable deposits, Form Creators must provide a valid bank account associated with a legal entity capable of receiving funds.
Payouts will be processed and sent to the provided bank account on a monthly basis, subject to any minimum payout thresholds or processing times of the third-party payment processor.
You are responsible for ensuring the accuracy of your bank account information. Basementgrid is not liable for any delays or losses incurred due to incorrect or outdated bank details provided by you.

7. Booking Module Terms

7.1. Location Management: Users can manage their Locations within the Booking Module, making them available for booking by other Users.

7.2. Booking Responsibility:

Users offering Locations for booking are solely responsible for the accuracy of Location descriptions, availability, pricing, terms, and conditions of booking.
Users making bookings are responsible for adhering to the terms set by the Location owner.
Basementgrid is not responsible for any disputes, damages, or issues arising from bookings, including but not limited to, availability conflicts, condition of Locations, or user conduct during bookings.

8. Message Terms

8.1. Communication: The Service includes a Message feature that allows Users to send messages to all Users within a Workspace or to selected Users.

8.2. Appropriate Use: You agree to use the Message feature responsibly and not for sending spam, unsolicited commercial communications, or any content that violates Section 5.3 (Content Standards).

8.3. Message Content: Basementgrid does not monitor the content of private messages in real-time but reserves the right to review messages if a violation of these Terms is reported or suspected.

9. Intellectual Property

9.1. Basementgrid's Rights: All rights, title, and interest in and to the Service (excluding User Content), including all intellectual property rights, are and will remain the exclusive property of Basementgrid and its licensors. The Service is protected by copyright, trademark, and other laws of both Singapore and foreign countries.

9.2. Trademarks: The Basementgrid name, logo, and any other Basementgrid product or service name, logo, or slogan displayed on the Service are trademarks of Basementgrid and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Basementgrid.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, BASEMENTGRID EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. BASEMENTGRID MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. BASEMENTGRID MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR SERVICES OBTAINED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BASEMENTGRID, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF BASEMENTGRID EXCEED THE GREATER OF ONE HUNDRED SGD (SGD $100.00) OR THE AMOUNT YOU PAID BASEMENTGRID, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICE GIVING RISE TO THE CLAIM.

THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT BASEMENTGRID HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Basementgrid and its affiliates, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.

13. Termination

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your Account, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

14.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

14.2. Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be finally settled by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The Tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

16. Miscellaneous

16.1. Entire Agreement: These Terms constitute the entire agreement between you and Basementgrid regarding our Service and supersede and replace any prior agreements, oral or otherwise, regarding the Service.

16.2. Waiver and Severability: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

16.3. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Basementgrid's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Basementgrid may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
